Terms of Service

These terms govern all B2B transactions, customization services, and use of our website for Zhongde Dingli hydraulic rock breaking equipment.

Please read these Terms of Service carefully. By engaging in any business transaction, inquiry, or use of our website, you ("Client") agree to be bound by the following terms. These terms apply to all B2B interactions with Zhongde Dingli (hereinafter "the Company," "we," or "us"), a manufacturer of static hydraulic rock breaking equipment and non-explosive gas expansion rock breaking systems.

Section 01

Service Scope

1.1 Applicable Parties

These Terms of Service apply exclusively to B2B clients, including purchasing managers, engineering contractors, mine owners, and equipment leasing companies engaged in mining, construction, and rock excavation industries. These terms do not apply to individual consumers.

1.2 Products & Services Covered

Our services encompass the design, manufacture, customization, and delivery of the following product lines:

  • Hydraulic rock splitters and piston rock splitters
  • Integrated drilling and splitting machines
  • Liquid CO₂ and liquid O₂ rock breaking systems
  • Down-the-hole (DTH) drilling rigs
  • ODM/OEM manufacturing services for international brands
  • Technical training and after-sales support services

1.3 Geographic Coverage

We serve global clients with a primary focus on Belt and Road markets, including Southeast Asia, Africa, South America, and the Middle East. All transactions are subject to applicable international trade regulations, export control laws, and the import requirements of the destination country.

1.4 Minimum Engagement Threshold

Our full-service B2B program, including ODM customization, dedicated account management, and priority delivery, is designed for clients with an annual procurement volume exceeding USD 0.5 million. Clients below this threshold may still access standard product offerings subject to separate terms.

Section 02

Order & Quote Rules

2.1 Quotation Validity

All quotations issued by the Company are valid for 30 calendar days from the date of issuance, unless otherwise stated in writing. Quotations are non-binding until a formal purchase order is confirmed and acknowledged by both parties. Prices are subject to change based on raw material fluctuations, currency exchange rates, or changes in the client's specifications.

2.2 Order Confirmation

An order is considered confirmed only upon:

  1. 1 Receipt of a signed purchase order or written confirmation from the client
  2. 2 Agreement on product specifications, delivery timeline, and payment terms
  3. 3 Receipt of the agreed deposit payment (typically 30%-50% of the total order value)
  4. 4 Written acknowledgment from the Company confirming production commencement

2.3 Pricing & Currency

All prices are quoted in USD unless otherwise agreed. The Company reserves the right to adjust pricing for orders placed after quotation expiry. Bulk order discounts may be negotiated for annual procurement volumes exceeding USD 0.5 million.

2.4 Delivery Timeline

Standard in-stock products can be dispatched within 3 business days of order confirmation. Lead times for customized or bulk orders will be specified in the purchase agreement. The Company is not liable for delays caused by shipping carriers, customs clearance, or force majeure events.

2.5 Order Cancellation & Modification

Order cancellations or modifications must be submitted in writing within 48 hours of order confirmation. Once production has commenced, cancellations may incur charges equivalent to the cost of materials and labor already expended. Modifications to confirmed orders may affect delivery timelines and pricing, which will be communicated promptly.

Section 03

Customization Terms

3.1 Scope of Customization

The Company offers end-to-end ODM/OEM customization services, including but not limited to:

Product specifications & dimensions
Custom logo & brand identity
Color, material & finish options
Performance parameters & pressure ratings
Packaging & labeling requirements
Compliance documentation per region

3.2 Customization Process & Client Responsibilities

Clients requesting customization must provide complete and accurate technical specifications, artwork, or design files prior to production. The Company will prepare a technical confirmation document for client approval before commencing manufacturing. The client is responsible for:

  • Ensuring all submitted designs, logos, and trademarks do not infringe upon third-party intellectual property rights
  • Reviewing and approving technical drawings or prototypes within the agreed timeframe
  • Verifying that customized specifications meet local regulatory requirements in the destination market

3.3 Intellectual Property

All proprietary designs, technical drawings, and manufacturing processes developed by the Company remain the exclusive intellectual property of Zhongde Dingli. Client-provided designs and branding materials remain the property of the client. Neither party shall disclose the other's confidential technical information to third parties without prior written consent.

3.4 Minimum Order Quantities

Customization services are subject to minimum order quantities (MOQ), which vary by product type and the extent of customization required. MOQ details will be specified in the formal quotation. Orders below the stated MOQ may be accepted at a premium surcharge, subject to production capacity availability.

3.5 Sample & Prototype Policy

For new customization projects, the Company may produce a prototype or sample prior to mass production at the client's request. Sample costs and lead times will be quoted separately. Mass production will only commence after the client has provided written approval of the sample. Any modifications requested after sample approval may result in additional charges and extended lead times.

4.1 Quality Assurance Standards

All products manufactured by Zhongde Dingli comply with ISO 9001 quality management standards and EU CE safety certification requirements. Each production line is supervised by quality control inspectors with a minimum of 5 years of industry experience. A comprehensive pre-shipment trial run is conducted for every order to verify product performance, safety, and compliance before dispatch.

4.2 Warranty Policy

The Company provides a limited warranty on all products against manufacturing defects in materials and workmanship. The warranty period and specific coverage will be defined in the individual purchase agreement. The warranty does not cover:

  • Damage resulting from improper installation, misuse, or operation outside specified parameters
  • Normal wear and tear from regular operational use
  • Damage caused by unauthorized modifications or repairs performed by third parties
  • Damage resulting from environmental factors, natural disasters, or force majeure events

4.3 After-sales Support

The Company provides a dual-track after-sales support system designed to minimize operational downtime and reduce warranty costs for our clients:

Comprehensive video guides covering installation, operation, maintenance, and troubleshooting procedures for all product lines.

Technical Training

On-site or remote technical training programs for client operators and maintenance personnel, tailored to specific product configurations.

4.4 Claims & Returns Procedure

Any quality claims must be submitted in writing within 14 calendar days of receiving the goods, accompanied by photographic or video evidence of the defect. The Company reserves the right to inspect the returned goods before processing any replacement or refund. Return shipping costs for warranty claims confirmed to be manufacturing defects will be covered by the Company. Non-warranty returns are subject to a restocking fee.

Section 05

Liability & Dispute Resolution

Important Notice: Please review this section carefully. It contains important limitations on the Company's liability and describes the procedures for resolving disputes between the parties.

5.1 Limitation of Liability

To the maximum extent permitted by applicable law, the Company's total liability to the client for any claim arising out of or related to these terms or any transaction shall not exceed the total purchase price paid by the client for the specific order giving rise to the claim. The Company shall not be liable for:

  • Indirect, incidental, special, or consequential damages, including loss of profits or business opportunities
  • Damages arising from the client's failure to follow provided operating instructions or safety guidelines
  • Delays or failures in delivery caused by third-party logistics providers, customs authorities, or force majeure events
  • Non-compliance with local regulations in the destination country where the client failed to verify applicable requirements

5.2 Force Majeure

Neither party shall be held liable for any failure or delay in performance of its obligations caused by circumstances beyond its reasonable control, including but not limited to natural disasters, pandemics, war, government actions, trade embargoes, labor strikes, or disruptions to transportation infrastructure. The affected party must notify the other party in writing within 5 business days of the occurrence of such an event.

5.3 Dispute Resolution Process

In the event of a dispute, the parties agree to follow this escalation process:

Direct Negotiation (0-30 days)

Parties shall attempt to resolve the dispute through good-faith direct negotiation. The client should submit a formal written complaint to meiki@dlminingequipment.com with full details of the claim.

Mediation (30-60 days)

If direct negotiation fails, both parties may agree to engage a mutually acceptable neutral mediator to facilitate resolution before pursuing formal legal proceedings.

Arbitration / Legal Proceedings

Unresolved disputes shall be submitted to arbitration in accordance with the rules of a recognized international arbitration body, or resolved through the courts of competent jurisdiction as specified in the individual purchase agreement.

5.4 Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the People's Republic of China, unless otherwise specified in a signed bilateral agreement between the Company and the client. For international transactions, the United Nations Convention on Contracts for the International Sale of Goods (CISG) may apply where relevant.

Website Content Usage

6.1 Ownership of Website Content

All content published on this website and our Alibaba online stores, including but not limited to product descriptions, technical specifications, images, videos, logos, trademarks, design elements, and written materials, is the exclusive intellectual property of Zhongde Dingli or its licensors. This content is protected by applicable copyright, trademark, and intellectual property laws.

6.2 Permitted Uses

  • Viewing and downloading content for personal procurement evaluation purposes
  • Sharing product links with internal procurement team members
  • Referencing product specifications in internal business reports or proposals
  • Using content provided under a signed ODM/OEM agreement as authorized

6.3 Prohibited Uses

  • Reproducing, republishing, or redistributing website content without prior written consent
  • Using product images, descriptions, or technical data for competing commercial purposes
  • Scraping, crawling, or automated extraction of website data
  • Misrepresenting the Company's products, certifications, or capabilities

6.4 Accuracy of Information

While we strive to ensure all product information, specifications, and pricing displayed on our website and Alibaba stores are accurate and up to date, the Company reserves the right to correct errors, update specifications, or modify content at any time without prior notice. Published content is for general informational purposes only and does not constitute a binding offer. Confirmed specifications are those stated in the formal quotation and purchase agreement.

6.5 Third-party Links & Platforms

Our website and Alibaba online stores may contain links to third-party websites or platforms. The Company is not responsible for the content, privacy practices, or accuracy of information on third-party sites. Transactions conducted through Alibaba are additionally subject to Alibaba's own terms of service and platform policies.

6.6 Updates to These Terms

The Company reserves the right to update or modify these Terms of Service at any time. Significant changes will be communicated to registered clients via email. Continued engagement in business transactions with the Company following notification of changes constitutes acceptance of the revised terms. We recommend reviewing these terms periodically.
